What distinguishes a deposit from a loan is not what the parties wrote, but who would lose if the money vanished. Siman 167 turns that sentence into an instrument: it builds an arrangement in which the lender gains a hundred on a hundred with no interest, because there is as yet no loan. It remains to see how far the instrument carries — and it is there that the Taz, the Derisha, the Prisha and the Nekudot HaKesef part company.

1. פקדון או הלואה — what gives the contract its name

The seif rests its whole structure on five words — ויהיה באחריות המלוה עד אותו זמן. This is not a clause of prudence: it is the legal characterisation of the transaction, and it decides whether the prohibition of interest applies at all.

‘Hakira: what makes money handed over a loan? (א) The form of the deed. What the parties called a loan is a loan; the risk is one clause among others. On that reading, the seif’s arrangement would be a paid loan, hence interest, and permitting it would require an exception. (ב) The location of the risk. A loan is what stands at the holder’s risk, and a deposit what remains at the owner’s — whatever it is called. On that reading the arrangement is no exception at all: it is a deposit, and the prohibition never meets it.
The Taz decides for (ב), and says so twice Once positively: the basis of the permission is that while he is earning, the money is still a deposit. Once negatively, quoting the Rosh: once the manager takes on the whole risk, the name of deposit falls away from him and he becomes a borrower. The name therefore follows the risk, and not the reverse.

2. שכר עמלו — why the labour must be paid, and from which side

Once it is settled that there is no loan during the first phase, one difficulty remains, and the seif deals with it in six words: the manager works, and his work benefits the lender. Free work rendered to the man from whom one will borrow is a benefit — and therefore, if it is not paid for, interest.

Kushya If during the first phase there is no loan at all, how could work done in that phase be interest? There is as yet no lender and borrower: there is an owner and a manager.
Terutz — and it is in the Tur’s own words Precisely so: the work is not interest of the loan, it is advance interest. The Tur writes it out in full. The prohibition of interest is not confined to what passes during the loan: what is given beforehand, with a view to the loan, falls under the same name.

And the Shach names both sides The Tur names only advance interest, because he follows the seif’s order: the work precedes the loan. The Shach writes כמו רבית מוקדמת ומאוחרת — both. And rightly, for the gloss will permit the reverse order, in which the work will follow the loan.

Nafka mina On the Tur alone, the gloss’s reverse order would have no treatment: it would be a new case. On the Shach’s, it is already covered by the same rule — and that is precisely why the same solution, any wage at all, holds there too. The Beit Yosef shows this by bringing the Raavad, who stumbles at exactly that point.

3. The Taz–Derisha dispute — can the risk be bought?

The Derisha wishes to permit the lender to pay the manager so that the latter takes on the risk. His analogy is a classic one: an unpaid bailee may undertake to be liable as a borrower (Choshen Mishpat 291). Why not here?

The Derisha’s kushya The seif already allows a modest sum to be paid for the work. Paying a modest sum for the risk would be of the same kind — and the law knows the device under the name of the bailee’s undertaking.

The Taz’s answer The analogy fails for a structural reason: with the bailee no money was lent, whereas here it was. Shifting the risk onto the manager therefore does not offset a drawback: it turns the deposit into a loan, and it is then the lender’s gain that becomes interest. Paying for this, the Taz adds, resembles gifts made to a borrower so that he should borrow at interest.

And a second, independent reason The bailee’s undertaking presupposes a thing that returns in kind; money does not return in kind. The Taz draws this from the Tur at siman 169, in the name of the רמ״ה.

A kushya on the Taz, from siman 177 The Rama’s gloss on the first seif of siman 177 expressly accepts the analogy of the bailee turned borrower — and that in a case of עסקא. How can the Taz reject it here?
« וכל זה לא מיירי אלא כשיש למקבל ריוח אבל אם אין לו ריוח כלל במה שמקבל אין כאן הלואה כלל ואפילו קיבל עליו כל האחריות שרי דהא מותר לש״ח לקבל עליו להיות כשואל » (רמ״א יו״ד קע״ז:א)
Terutz — and it is written in the gloss itself Read it to the end: the Rama permits the undertaking only where אין לו ריוח כלל במה שמקבל, so that אין כאן הלואה כלל. Where the recipient has no profit, nothing was lent to him, and one is exactly in the bailee’s case. At siman 167, by contrast, the manager will take all the profit from two hundred onwards: there is a loan in germ, and the analogy no longer carries. The two texts can thus be read together — this is a reading, not a ruling.

Practical nafka mina A deed in which the manager guarantees the capital for a fee: on the Derisha it may stand, on the Taz it brings the whole arrangement down. The Ba’er Hetev reports both and states that the Taz disputes it.

4. שיעור השכר — the Prisha, siman 177 and the reading of the Mechaber

The Mechaber writes the initial stipulation as a condition of the measure: ואם התנה עמו מתחילה … סגי. The question is what happens where he did not stipulate.

Machloket (א) The plain reading of the Mechaber, supported by the Beit Yosef. The initial stipulation is what allows one to make do with any amount; failing it, one returns to the ordinary measure — a daily wage, like an idle worker. (ב) The Prisha, reported by the Shach and the Ba’er Hetev. From the Maharam’s proof, the source of this ruling, it emerges that any amount suffices even without a stipulation.

The Prisha’s reasoning, and it is subtle He compares our siman to the עסקא of siman 177. There, half the money is lent to the manager: he therefore works also on what is his, and the wage is the counterpart of real labour — hence the full measure. Here nothing is his, there is as yet no loan, and the wage serves only to remove the appearance of a benefit. A token sum suffices for that.

The basis of the division, in the Rambam The Prisha’s comparison is not a figure of speech: the half-loan/half-deposit division of the עסקא is an institution of the Sages, and the Rambam states it as such. It is because half is lent that the manager works on what is his.

5. תנאי הראיה — the Shach’s two clauses, and the Taz’s limit

The Shach devotes his first ס״ק to what may be written in a שטר עיסקא when the lender does not trust the manager. He permits, refuses and limits — three moves in one entry.

The Shach’s division On the capital: one may stipulate that the manager will be believed about a loss only through valid and well-known witnesses. On the profit: one may not; a solemn oath, yes, witnesses, no — שזהו רבית גמור. Outside a שטר עיסקא: in an actual loan even the clause on the capital falls.
« ואם המלוה אינו מאמין ללוה על ההפסד בקרן או בריוח אזי יכתוב בשטר העיסקא שאין הלוה נאמן בהפסד הקרן כי אם ע״פ עדים כשרים מפורסמים » (ש״ך יו״ד קס״ז ס״ק א)

‘Hakira: why are profit and capital not treated alike? (א) Because the proof is harder. A profit is diffuse, a loss of capital is an event; requiring witnesses for the one is reasonable, for the other not. (ב) Because the effect is not the same. Making the capital certain gives the lender only what he gave; making the profit certain gives him a guaranteed gain on money that is no longer his — and a guaranteed gain is exactly what the prohibition targets. The Shach’s wording, רבית גמור and not “appearance of interest”, inclines towards (ב).
The Taz’s limit The Taz does not dispute the clause on the capital; he requires the witnesses to be able to testify. Witnesses chosen for their ignorance would make the loss unprovable — and the lender, in the Rambam’s terms, קרוב לשכר ורחוק להפסד. The Taz further cites the Terumat HaDeshen to narrow it more: the device holds only where no fixed profit was set.

6. The Taz and the Nekudot HaKesef — when a licit device becomes a הערמה

The end of the Taz’s ס״ק א deals with a device of the Levush: instead of interest, the borrower sells the lender goods he owns, cheaply, undertaking to deliver them at a term, with a penalty if he does not. The Taz accepts it — on one condition.

The Taz’s condition, and his a fortiori The device holds only if the borrower did not first say “lend me”. If he did, the Taz argues from siman 163: there, one who says “lend me a hundred” and is answered “I have no hundred, I have wheat worth a hundred”, and buys it back at ninety — that is forbidden, though the sale there is at fair value. All the more so here, where the sale is well below value.

The Nekudot HaKesef’s reply The Shach, in his Nekudot HaKesef, refuses the analogy. At siman 163 the seller has no need to sell his wheat at all — he buys it straight back — so the sale has no function but to pass interest along: a plain הערמת רבית. Here the goods really belonged to the borrower, and a man is entitled to sell his own property cheaply.

Where exactly the disagreement lies Not in the rule of siman 163, which both accept, nor in the prohibition of הערמה, which both hold, but in the characterisation of the facts: is the sale a real sale? The Taz says no, because the initial “lend me” fixed the meaning of the transaction. The Nekudot HaKesef say yes, because the goods pre-existed and really do leave the seller’s estate.
Nafka minot (1) The borrower really has the goods and asked nothing first: licit for both. (2) He said “lend me”, then sells goods he has: forbidden for the Taz, arguable for the Nekudot HaKesef. (3) He does not have the goods: both forbid it, and the Taz says so expressly.

7. The gloss and איפכא — the Raavad, the Beit Yosef, and the seif’s symmetry

The gloss adds the symmetry — והוא הדין איפכא — and its source is given in brackets: the Beit Yosef. Yet the Beit Yosef, in that place, does not rule: he reports a hesitation of the Raavad and then removes it.

The Raavad’s difficulty Turning one’s עסקא into a loan, he accepts. But turning one’s loan into a deposit after a year, that he has not heard and does not hold established — because the manager, in the second year, toils for the lender in return for the first year’s loan: that is deferred interest.

The Beit Yosef’s answer, and it turns on one word Let him give him a wage for guarding it in the second year, however small — and it no longer looks like interest. The gloss takes up precisely that answer, and its last three words, ונותן לו, are the Beit Yosef’s condition.

Nafka mina A gloss read without its source would seem to say that the reverse order is free. Read with it, it says the opposite: the reverse order is harder — the Raavad hesitated over it — and it is saved only by the wage. The seif and the gloss thus share one condition, but in the one it bears on advance interest and in the other on deferred interest.

8. יסוד הסימן — האחריות היא היוצרת את שם ההלואה

There are two ways of reading this siman, and they do not arrive at the same place.

The first makes it a permission: here is an arrangement by which one may, exceptionally, draw a hundred from a hundred. That is how it reads when one starts from the result. The price of that reading is immediate: as soon as one detail moves — the risk, the wage — one no longer knows whether the exception still holds, because an exception has no internal reason.

The second makes it a characterisation, and that is the Taz’s reading. The siman permits nothing: it observes that so long as the loss would be the lender’s, the money has not left him, and there is therefore no loan to call interest-bearing. The gain of a hundred is not tolerated interest, it is a man’s profit on his own money. On that reading all the details order themselves: the risk must stay with the lender, or there is no deposit; the labour must be paid for, because it alone passes from one to the other; and the evidentiary clauses hold only so long as they do not erase the very risk they claim merely to establish.

That is why the Taz writes of the view he opposes that it spoils the permission: not that it abuses it, but that it destroys its reason. And that is why this siman, seven lines long, governs the reading of the whole of siman 177.
The word of the siman is not ריוח but אחריות: the name of the contract follows the location of the risk.
