1. The axiom: the location of risk names the contract

The starting point:

What makes money handed over a loan is not the name given to it, but the location of the risk. So long as the loss would be the provider’s, the money has not left him: it is a deposit, and the prohibition of interest never meets it.

Hence the axiom: the arrangement stands so long as the risk stays with the lender, and it falls the moment it passes to the manager. The Taz says it both ways — positively, and negatively in the words of the Rosh.

2. The 3 reflex questions

1. Who loses if the money disappears? If the provider, there is no loan and the rest is possible. If the manager, the money is a loan and any gain of the provider is interest — Taz.
2. Is the manager paid for his labour? If not, his labour is a benefit given free to the provider, before the loan (Tur: רבית מוקדמת) or after it (Shach: and also מאוחרת).
3. Was the wage stipulated at the outset? If so, any amount suffices — that is the letter of the seif. If not, one returns to the full measure according to the Beit Yosef; the Prisha is content with any amount even then.

3. Master table — the seif clause by clause

Here lies the trap: one remembers “two hundred return to the lender” and imagines an exception permitting a gain. There is no exception. There is a deposit becoming a loan, and the dividing line is the line of risk.

5. שכר עמלו: how much, and from which side

How much? The seif: אפילו בכל שהוא, provided he stipulated at the outset. The Beit Yosef explains the price of silence: without a stipulation, a daily wage כפועל בטל.
« ובלבד שיתן שכר עמלו עד שיהיו ב׳ מנים » (שו״ע יו״ד קס״ז:א)
« ונ״ל דצריך להתנות כן מעיקרא דאם לא כן צריך ליתן שכר בכל יום ויום כפועל בטל כמ״ש בסי׳ קע״ו » (בית יוסף יו״ד קס״ז)
From which side? The Tur names only advance interest, because he follows the seif’s order. The Shach names both, because the gloss permits the reverse order.
« ובלבד שיתן לו שכר עמלו עד שיהו ב׳ מנים שלא יהיה רבית מוקדמת » (טור יו״ד קס״ז)
« משא״כ הכא דכשעוסק אין כאן הלואה כלל אלא שהוא כמו רבית מוקדמת ומאוחרת ומשום הכי אפילו בלא תנאי סגי בכל שהוא » (ש״ך יו״ד קס״ז ס״ק ב)
And the more lenient view The Prisha, reported by the Shach and the Ba’er Hetev: even without a stipulation any amount suffices — for here the manager works on nothing of his own, unlike the עסקא of siman 177.

6. The two evidentiary clauses, and the Taz’s limit

On the capital — the witness clause is permitted, provided the witnesses know the business (Taz).
« ואם המלוה אינו מאמין ללוה על ההפסד בקרן או בריוח אזי יכתוב בשטר העיסקא שאין הלוה נאמן בהפסד הקרן כי אם ע״פ עדים כשרים מפורסמים » (ש״ך יו״ד קס״ז ס״ק א)
« וכתב עוד בענין ההיתר שמתנה המלוה שלא יהא הלוה נאמן על הפסד הקרן כ״א ע״פ ב׳ עדים כשרים היינו דוקא שהעדים הללו יש להם ידיעה קצת בעסק זה של הלוה » (באר היטב יו״ד קס״ז ס״ק ב)
On the profit — the witness clause is forbidden: a solemn oath, yes. The Shach writes שזהו רבית גמור.
« ועל הריוח לא יהא נאמן כ״א בשבועה חמורה כרצון בעל השטר » (ש״ך יו״ד קס״ז ס״ק א)
« דלא כאותן שנהגו לכתוב בשטר שגם בריוח לא יהא נאמן כ״א בעדים שזהו רבית גמור » (ש״ך יו״ד קס״ז ס״ק א)
Outside a שטר עיסקא — in an actual loan even the clause on the capital falls, the interest there being Torah-level.
« ומשמע דוקא הכא שהוא בשטר עיסקא אבל בהלואה ממש דהוי רבית דאורייתא אסור להתנות גם על הקרן שלא יהא נאמן כ״א ע״פ ב׳ עדים כשרים » (ש״ך יו״ד קס״ז ס״ק א)
Do not conflate the two limits. The Shach’s bears on the object of the clause (capital or profit); the Taz’s bears on the quality of the witnesses. A deed may satisfy the first and breach the second.

7. The Taz–Nekudot HaKesef duel over הערמת רבית

The device — the Levush’s, reported by the Taz: instead of interest, the borrower sells the lender goods he owns, cheaply, undertaking delivery with a penalty.
The Taz — the device holds only if the borrower did not first say “lend me”. If he did, it is forbidden, a fortiori from siman 163.
« ונ״ל ברור שאין להיתר זה מקום רק אם לא אמר תחלה הלויני מעות » (ט״ז יו״ד קס״ז ס״ק א)
« אבל אמר תחלה הלויני מנה ואח״כ עושה עמו היתר זה אסור » (ט״ז יו״ד קס״ז ס״ק א)
The Nekudot HaKesef — the analogy with siman 163 does not carry: there the seller had no need to sell at all; here the goods really were his, and a man may sell his property cheaply.
« ול״נ דלא דמי דהתם לאיזה צורך הוא מוכר לו החטין שהרי חוזר ולוקחן ממנו הרי יש כאן הערמת רבית » (נקודות הכסף יו״ד קס״ז)

Where the disagreement lies — not in the rule, which both accept, but in the characterisation of the facts: is the sale real?

8. The gloss: the reverse order, and why it is harder

What the gloss says — the reverse order is licit: first the loan for the borrower’s need, then the labour for the lender’s need, and he gives him.
« והוא הדין איפכא שמלוה לו תחילה לצורך הלוה ואחר כך יעסוק בו לצורך המלוה ונותן לו » (רמ״א יו״ד קס״ז:א)
Why it is harder — the Raavad, reported by the Beit Yosef, hesitated: the labour then follows the loan, and that is deferred interest.
« אבל אם ירצה לעשות עסקו פקדון אחר שנה זה לא שמעתי ולא נתברר לי להתיר מפני שהיא כרבית מאוחרת » (בית יוסף יו״ד קס״ז)
« כי בשביל חצי ההלואה שהלוה לו שנה טורח לו שנה בפקדונו » (בית יוסף יו״ד קס״ז)
What saves it — a wage for guarding it in the second year, however small, דתו לא מיחזי כרבית. The gloss’s last three words are that condition.
« מיהו בנותן לו שכר בעבור שמירתו בשנה שניה אפילו כל דהו נראה דפשיטא דמותר דתו לא מיחזי כרבית » (בית יוסף יו״ד קס״ז)

9. The vocabulary of the siman

The termWhat it denotes
עֵסֶק · עִסְקָאthe venture entrusted. The Rambam gives the clearest definition: when only one of the two trades with the common money, the partnership is called essek and the one who trades is called mitassek. Siman 167 is its limiting case: the money is entirely the lender’s, and the mitassek at first works only for him.
מִתְעַסֵּקthe manager. The one who handles another’s money to make it grow. He is not a borrower so long as the risk has not passed to him — and that is why the first phase of the seif is not a loan.
פִּקָּדוֹן · הַלְוָאָהdeposit · loan. The decisive division. What separates them is not the form of the contract but the location of the risk: what is at the owner’s risk is a deposit; what is at the holder’s risk is a loan. The Taz says it in one sentence worth remembering: once he takes on the whole responsibility, פקע ממנו שם הפקדון ונעשה מלוה.
אַחְרָיוּתwhere the risk lies. The word on which everything turns. The seif does not say “he shall guard the money well”: it says that the loss, should there be one, is the lender’s. That is a legal allocation, not a precaution.
שְׂכַר עֲמָלוֹthe wage of his labour. What the lender must pay the manager for the phase in which the manager works for him. Without it, the labour would be a benefit given free with a view to a loan — hence interest.
כְּפוֹעֵל בָּטֵלlike an idle worker. The ordinary measure of a manager’s wage: what a man would accept for being diverted from his own work. It is the measure one falls back on absent an initial stipulation — hence the point of stipulating.
רִבִּית מֻקְדֶּמֶת · רִבִּית מְאֻחֶרֶתadvance interest · deferred interest. A benefit given to the lender before the loan, or after its repayment. Here the whole difficulty lies there: the first phase’s labour precedes the loan (Tur), and in the gloss’s reverse order it follows it (Raavad). The Shach, at ס״ק ב, names both together.
קָרוֹב לְשָׂכָר וְרָחוֹק לְהֶפְסֵדnear the gain and far from the loss. The Rambam’s phrase for an arrangement in which one party takes the profit without bearing the risk. It is the limit the Taz sets against evidentiary clauses: witnesses chosen so that they could never attest to a loss would make the lender “far from the loss” — and the arrangement would fall.
שְׁטַר עִסְקָאthe deed of venture. The writing in which the arrangement is recorded. The Shach, at ס״ק א, settles two evidentiary clauses in it — one permitted, one not — and stresses that they hold only in a deed of that kind.
הַעֲרָמַת רִבִּיתcircumventing the interest prohibition. An outwardly licit arrangement whose real function is to pass interest along. It is the name of the disagreement between the Taz and the Nekudot HaKesef at the end of ס״ק א.

10. Golden rules, mnemonic, pitfalls and flash card

  1. The name follows the risk. So long as the loss would be the provider’s, it is not a loan.
  2. The labour must be paid for. Labour alone passes from manager to provider: it, and it alone, needs compensating.
  3. Stipulating in advance changes the measure. With a stipulation, any amount; without, the full measure — and the Prisha lightens it.
  4. An evidentiary clause must not erase the risk it establishes. That is the Taz’s limit, and its name is קרוב לשכר ורחוק להפסד.
Mnemonic — the word עסקא
עעמל : the manager’s labour must always be paid for
ססגי בכל שהוא : stipulated in advance, any amount suffices
קקרן : on the capital one may demand witnesses — not on the profit
אאחריות : and so long as it stays with the lender, there is no loan
  1. Reading the siman as an exception. It is not one: it characterises, it does not permit.
  2. Thinking the risk can be bought. That is the Derisha, and the Taz refutes it — the payment creates the difficulty instead of removing it.
  3. Extending the witness clause to the profit. The Shach dismisses it in three words: שזהו רבית גמור.
  4. Applying the Shach’s clauses to an ordinary loan. He himself excludes it: they hold only in a שטר עיסקא.
