Siman 175 runs to eight seifim — the Shulhan Arukh announces it itself: ובו ח׳ סעיפים. Siman 162 forbade lending a measure against a measure, because the price moves. Here the same transaction is permitted — money is advanced, wheat will be received later, and if wheat rises one will have gained. The whole difference lies in a fact external to the parties: the commodity has, that day, a price. The siman defines what that price is, and what stops it being one.

1. The text of the Shulhan Arukh — the eight seifim

The siman reads in three movements. Seifim 1–3 define what a rate is: where it is taken from, and what prevents it from being one. Seifim 4–5 give the two other conditions: the seller’s possession, and the bar on the buyer gaining anything beyond the goods. Seifim 6–8 govern performance: what the seller may substitute, at what rate he delivers, and what becomes of a transaction made in prohibition.

Seif א — the rate of the great city, and the lenient gloss

Title of the siman: the law of one who fixes a price on produce according to the market rate; and it contains eight seifim.

One does not fix a price on produce by the rate of the towns, because it is not fixed; but one fixes by the rate of the great city, which is fixed. And once the rate of the great city has come out, it is permitted to advance money to one’s fellow and to agree with him that he will give him that produce all year, to the amount of his money, at that rate — even if it becomes dearer, and even if the seller has no produce.

Gloss: And some say that one may fix even by the rate of the towns (Tosafot, the Rosh, the Tur and the Hagahot Ashiri), and there is room to be lenient in a rabbinic prohibition (the author’s own view).
What is permitted here was forbidden in siman 162, and the mechanism is the same. Money is advanced, wheat will be received later, and if wheat rises one will have received more than one gave. The whole difference lies in an external fact: the wheat has, that day, a fixed and known price. The buyer could therefore, at that very moment, have bought his wheat and had it delivered later. The advance gives him no advantage he did not already have — it spares him a journey, not a price rise.

Seif ב — new and old — two prices, hence none

היו החדשות במדינה ד׳ סאין בסלע וישנות שלשה בסלע אין פוסקין עד שיצא השער לחדש ולישן:
If the new [wheat] in the great city was four se’in per sela and the old three per sela, one does not fix a price until the rate has come out for the new and for the old.
A fixed rate is a single rate. As long as the new sells at four and the old at three, there is not one rate but two — and it is not known which of the two the market will settle on. The Taz adds the reason, and it is decisive: the two prices will converge, but towards what level is unknown; today’s price is therefore not yet the price of the commodity.

Seif ג — the gleaners — two goods, two rates

היו חטין של לקוטות (פי׳ עניים המלקטים לקט שכחה ופאה) ד׳ סאין בסלע ושל בעה״ב ג׳ פוסק ללקוטות כשער הלקוטות ולא יפסוק לבע״ה עד שיקבע השער לבעל הבית:
If the wheat of the gleaners (inserted gloss:) (explanation: the poor who gather leket, shikh’ha and pe’ah) was four se’in per sela and that of the householder three, one fixes with the gleaners at the gleaners’ rate; and one does not fix with the householder until the rate is established for the householder.
Two different goods each have their own rate. The gleaners’ wheat is not the householder’s wheat: it is mixed, it will never fetch the same price, and its lower value is not a fluctuation but a quality. Each therefore has its own fixed rate, and one may fix with each at his own. What is forbidden is to fix with the householder at the gleaners’ rate — for there the favour is no longer in the goods but in the advance of money.

Seif ד — “he has some” — up to the amount, and three operations

אם היה למוכר מאותו המין אע״פ שעדיין לא נגמרה מלאכתו מותר לפסוק עליו עד כדי השיעור שיש לו אף על פי שעדיין לא יצא השער והוא שלא יהא מחוסר אלא מלאכה אחת או ב׳ אבל אם מחוסר ג׳ מלאכות אסור:
If the seller had of that species, even though its work is not yet finished, it is permitted to fix upon it up to the amount he has, even though the rate has not yet come out — provided it lacks only one or two operations; but if it lacks three operations, it is forbidden.
When the seller possesses, the market rate is no longer needed. If he has the goods he may sell them at whatever price he wishes, and the buyer becomes their owner at once: the rise will occur in his domain. The seif adds two limits which level 2 will discuss. How much: up to the amount he has, and not “a little suffices” as in a loan in kind. How far: the goods may be unfinished, but not lacking three operations — beyond that it is as if he had nothing.

Seif ה — to gain nothing: the broker and the wastage

הפוסק על השער צריך שלא ירויח בדבר כלום כגון שאם מנהג שהלוקח נותן שכר הסרסור צריך שיתן הוא וצריך שינכה למוכר החסרון שראוין להתחסר לפי המדה ולפי הזמן:
One who fixes a price on the rate must gain nothing at all thereby: for instance, if the custom is that the buyer pays the broker’s fee, he must pay it himself. And he must deduct for the seller the loss the goods are liable to suffer, according to the measure and according to the time.
The rule that stops the arrangement turning into interest. The permission rests on an exact fiction: it is as though the buyer had bought today. But one who buys today pays the broker and bears the wastage of storage. If the buyer escapes these, he gains something his money procured for him — and that something is interest. The Tur says it in plain words: otherwise it is interest, for this one gains through the advance of his money.

Seif ו — substitution — produce, not money

One who fixed a price on produce and it became dearer at the time of payment: he may value in money the produce upon which the price was fixed and give him other produce; but money he may not give. And there is one who says that he may give money.

Gloss: And he may fix, at the market rate, upon other produce, as if he were giving him money now; and this provided he did not value the first produce in money, but says only: “such and such se’ah of wheat are mine with you, give me for them such and such wine or another thing.” But if he valued it in money, saying “such is the value of the wheat, give me wine for it”, it is forbidden, for it is as though he had lent him money — and one does not fix upon money when the money is not there in kind, unless he has [the produce] (thus the Beit Yosef inferred from the language of the Ran and the Nimukei Yosef), as was explained in siman 163.
What the seller may substitute, and what he may not. He owes wheat; he may give other produce of equal value instead. He may not give money, for then he would have bought wheat and sold it back dearer to the buyer — a money profit drawn from an advance of money. Rabbenu Tam nevertheless permitted money, and he is the “there is one who says” of the seif. The Rama’s gloss adds the line not to cross: speak in measures, never in a sum.

Seif ז — the most favourable rate, and the mi shepara

כיון שנקבע השער מות׳ לפסוק על שער הגבוה כיצד היו החטין נמכרות ד׳ סאין בסלע ופסק עמו שיתן לו החטין כשער הזול אם עמדו אח״כ עשר סאין בסלע נותן לו עשר סאין בסלע נתן לו המעות סתם ולא פסק עמו כשער הגבוה והוזלו נותן לו כשער שהיו שוים כשנתן לו המעות ומי שחזר מקבל מי שפרע ואם היה שליח לאחרים אינו נוטל אלא כשער הזול או מחזיר דמים ואין השליח ולא המשלח מקבלים מי שפרע:
Once the rate is established, it is permitted to fix at the high rate [in measures]. How? Wheat was selling at four se’in per sela, and he agreed with him that he would give him the wheat at the cheaper rate: if it afterwards stood at ten se’in per sela, he gives him ten se’in per sela. If he gave him the money without specifying and did not agree with him on the high rate, and prices fell, he gives him at the rate they were worth when he handed over the money; and whoever retracts receives the “mi shepara”. And if he was an agent for others, he takes only at the cheaper rate or returns the money — and neither the agent nor the sender receives the “mi shepara”.
An established rate permits stipulating the most favourable one. Once the price is known, the buyer may agree to receive at the more advantageous rate — and if the commodity falls, he receives more. This is not a forbidden one-sided clause: the Taz will show in level 2 why, in the name of Tosafot. And the end of the seif introduces two notions of civil law: the מי שפרע, that reproach which falls on one who goes back on his word after payment, and the agent, on whom the fault of not having stipulated is not laid.

Seif ח — a sale made in prohibition stands at the lawful price

מקח שנעשה באיסור כגון שהוסיף במקח משום אגר נטר וכיוצא בזה המקח קיים בענין שלא יהא בו רבית והוא שנתקיים המקח באחת מדרכי ההקנאות אבל אם לא נתקיים המקח אלא לענין מי שפרע בטל לגמרי:
A transaction made in prohibition — for instance if he added to the price for the wage of waiting and the like — the sale stands, in a manner that contains no interest; and this provided the sale was established by one of the modes of acquisition. But if the sale was established only as regards the “mi shepara”, it is void entirely.
A contract tainted with interest is not annulled: it is brought back to what is permitted. This is a principle of general scope and it closes the siman. If the price was inflated to pay for a delay, the sale is not undone: it is brought back to the lawful price. One condition, however — that the sale was really concluded by a mode of acquisition. Where nothing was acquired and there is only the מי שפרע, there is nothing to bring back: the sale falls.
The eight seifim answer a single question: did the money advanced buy goods, or was it lent? If it bought, the later rise belongs to the buyer as it would to any owner. If it was lent, the rise is a surplus paid to the lender. And what makes it a purchase is always the same thing: that the buyer could, at that moment, have obtained the goods — because they have a price, or because the seller has them.

2. The mechanism — why יצא השער permits what siman 162 forbade

The Tur opens the siman by first explaining the prohibition, before saying what lifts it — and his wording deserves a word-by-word reading, for the permission is already contained in it.

« אין פוסקין על הפירות עד שיצא השער פירוש אינו יכול להקדים מעות לחבירו ולפסוק עמו שיתן לו חטין כל השנה בשיעור מעותיו כפי מה ששוה עתה » (טור יו״ד קע״ה)
« שבשביל הקדמת המעות הוא מקבל עליו ליתן כפי זה הסכום אף אם יתייקרו » (טור יו״ד קע״ה)
פוסק על הפירות — fixing a price on produce. Advancing a sum today in order to receive, later, a quantity of goods reckoned at today’s price. The transaction is identical to a forward purchase, and its difficulty is identical to that of siman 162: if the price rises, the buyer has received more than he paid, and he received it because he paid in advance.

The Shakh, in his very first ס״ק, sets out one after the other the prohibition and its lifting — and gives in passing the sentence that, throughout the laws of interest, opens the door.

« שזה מוזיל גביה בשביל הקדמת המעות ומקבל עליו שאם יתיקר יתן לו בזול כמו שהן עכשיו » (ש״ך יו״ד קע״ה ס״ק א)

Three propositions, and they must be held together. (1) The prohibition: the seller lowers his price because of the advance, and undertakes to deliver at today’s price even if the goods rise. (2) The lifting: the buyer can say — had my money stayed with me, I would have bought in the market at today’s rate. (3) The resulting fiction: it is as if the seller had bought the goods for the buyer and acquired them on his behalf; the rise therefore occurred in the buyer’s domain.

Why this prohibition is only rabbinic. The Shakh explains it in one line: since the transaction is a sale and not a loan, the Torah does not reach it. The consequence is immediate, and the Rama uses it in seif 1 to permit the rate of the towns: in a doubt concerning a rabbinic prohibition, one is lenient.

The two permissions, and they are not the same. יצא השער: the commodity has a fixed, known rate in a great city — the buyer could have bought it. יש למוכר: the seller possesses the goods — the buyer becomes their owner at once. The first dispenses with having the goods; the second dispenses with having a rate. Both say the same thing: what the buyer paid made him acquire something today.

3. The sugya — Bava Metzia 72b

The mishna of the fifth chapter of Bava Metzia gives the rule in six words, and the gemara spends the rest of the page saying what a rate is.

« אֵין פּוֹסְקִין עַל הַפֵּירוֹת עַד שֶׁיֵּצֵא הַשַּׁעַר. יָצָא הַשַּׁעַר – פּוֹסְקִין, וְאַף עַל פִּי שֶׁאֵין לָזֶה יֵשׁ לָזֶה » (בבא מציעא ע״ב ע״ב)
« הָיָה הוּא תְּחִילָּה לַקּוֹצְרִים, פּוֹסֵק עִמּוֹ עַל הַגָּדִישׁ, וְעַל הֶעָבִיט שֶׁל עֲנָבִים, וְעַל הַמַּעֲטָן שֶׁל זֵיתִים » (בבא מציעא ע״ב ע״ב)

The mishna contains the siman’s three permissions. The rate has come out — seif 1. He was first among the reapers, and one fixes with him on the stack, on the vat of grapes, on the olive press — this is seif 4, the seller who holds unfinished goods. And one fixes with him at the high rate — this is seif 7. The Shulhan Arukh did no more than separate its terms.

שער שבשוק and שער שבמדינה. Rabbi Yohanan forbids fixing on “the market rate”; the gemara at once restricts it: he spoke only of the market of the towns, דלא קביעי תרעייהו — whose prices are not fixed. The Taz spells out what מדינה means: a great city. From here comes the whole of seif 1, and from here too the Rama will find room to be lenient.

The gemara’s two answers on the gleaners, and they do not say the same thing. Rava asks: if the gleaner who has none may borrow from a fellow gleaner, so may the householder — why then does one not fix with him? First answer: it would be beneath a householder to borrow from a gleaner. Second answer: one who gives his money to a householder gives it for fine produce. The Taz will show in level 2 that the two do not coincide, and that the Tur followed the first stringently.

4. The vocabulary of the siman

יצא השער — the rate has come out. Not “there is a price”, but: a price has settled, fixed and known, in a market large enough to serve as a reference. This is the condition that turns an advance of money into a purchase.
שער שבמדינה against שער של עיירות. The first is the rate of the great city, as the Taz defines it; the second that of the towns, whose prices move. The Mehaber requires the first, the Rama’s gloss admits the second — and the Shakh adds a practical precision: a great city’s rate governs the localities that are supplied from it, not those which, though nearby, are supplied elsewhere.

לקוטות — the gleaners. The Shulhan Arukh itself inserts the explanation: the poor who gather leket, shikh’ha and pe’ah. Their wheat is of lower quality, and the Taz specifies why this changes everything: it is mixed wheat, almost another species, whose price will never join the householder’s. It therefore has its own fixed rate.
מחוסר מלאכה — unfinished goods. A commodity still in preparation: the wheat stack that must still be dried, threshed and winnowed. One or two missing operations do not stop it counting as possessed; three place it with what does not yet exist. The Shakh adds an asymmetry worth noting: one or two operations, even if they depend on heaven, do not hinder; three hinder, even if they are within his power.

מי שפרע — “he who paid”. A notion of civil law, invoked here twice. Where money has been handed over without a mode of acquisition taking effect, the sale is not binding; but whoever retracts incurs a formal reproach from the court. Seif 7 uses it for retraction, and seif 8 to say what, conversely, does not suffice to uphold a sale tainted with interest.
אגר נטר — the wage of waiting. The generic name of interest, and seif 8 uses it to designate what made the transaction irregular: a price raised to pay for a delay. The rule of the seif is of general scope and applies well beyond our subject.

An absence to note, and not to misname. The Nekudot HaKesef — the Shakh’s reply to the Taz — do not comment on this siman: they have nothing to say here, the work proceeding siman by siman according to what it chooses to discuss. This is an absence of comment, not an absence of the work: they are found on siman 174 as on siman 176, and there is therefore nothing of theirs to cite here.

7. The Rambam — הלכות מלווה ולווה chapter 9

Chapter 9 of הלכות מלווה ולווה is our siman from first word to last — and siman 162 already noted it: chapter 10, which follows, treats the loan in kind, the lender-borrower form of the same mechanism.

Two things the Rambam gives that the seif does not. (1) The figures: four se’in per sela, a hundred se’in, twenty-five sela’im — the Rambam calculates, and the calculation makes the rule immediately legible. (2) The example of the three operations: a stack that must still lie in the sun to dry, be threshed and winnowed — three, hence forbidden; if it is dry and only threshing and winnowing remain — two, hence permitted. The Shulhan Arukh kept the rule and left the examples.

8. Contemporary practical cases

Case 1 — Paying a year of deliveries in advance

A private individual pays today for a year’s supplies, to be delivered month by month. This is exactly seif 1: if the goods have an established and known rate, the transaction is a purchase, and the later rise does not concern him. If they have none and the supplier has nothing in stock, the advance becomes a loan and the discount granted becomes interest. For practice, consult your Rav.

Case 2 — The discount for early payment

This is the commonest form of the problem. Seif 5 is here the decisive text: one who fixes in advance must gain nothing. A discount matching a cost genuinely saved to the seller — a broker he need not pay, storage he need not bear — is not a gain. A discount whose only cause is the advance is one. A question for a Rav.

Case 3 — Goods with no market price

A rare, made-to-order product for which no quotation exists. Seif 1 does not apply, but seif 4 may suffice: if the maker already possesses the material, the advance is a purchase, up to the amount he possesses. The Taz specifies that “he has a little” does not suffice here, unlike a loan in kind: the quantity is required. A question for a Rav.

Case 4 — Delivering something other than what was agreed

Wheat has risen, and the seller offers to settle differently. Seif 6 permits substitution in kind and forbids it in money according to the Mehaber, a cited view permitting money. The Rama’s gloss adds the line not to cross: speak in measures — “so much wheat is mine with you, give me wine for it” — and not in a sum. A question for a Rav.

Case 5 — A contract already signed, and the problem is discovered

This is seif 8, and it is reassuring: the sale is not undone, it is brought back to the lawful price — provided a mode of acquisition took effect. The Shakh adds that what has already been overpaid is not taken back from the seller; and the Pit’hei Teshuva reports that several Aharonim disputed this last point. A question for a Rav.

9. Summary of Siman 175

One sentence. Advancing money to receive goods later is permitted when the buyer could have obtained them at that moment — because they have a fixed and known rate in a great city, or because the seller already possesses them — and provided the buyer gains nothing beyond the goods themselves.

Comprehension questions

  1. Siman 162 forbids lending a se’ah against a se’ah; this one permits buying wheat in advance. Where is the difference? Frame it without using the word “sale”.
  2. Why does the towns’ rate not suffice for the Mehaber, and on what does the Rama rely to admit it?
  3. Seif 2 rejects a rate because there are two; seif 3 accepts two. The Taz (ס״ק 3) explains. Restore the difference.
